END USER LICENSE AGREEMENT (EULA)

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING PARTY-BAG PLUGINS SOFTWARE.

By installing, copying, or using our software plugins, you agree to be bound by this End User License Agreement.

1. License Grant

Party-Bag Plugins grants you a non-exclusive, non-transferable license to use our audio plugin software ("Software") subject to the terms of this agreement.

License Types:

Single User License: Permits installation and use on up to 2 computers owned or controlled by the licensee

Trial Period: A 4-day trial period is available for all plugins before purchase

You may:

Install and use the Software on up to 2 computers simultaneously

Make backup copies for archival purposes

Use the Software for commercial music production

Deactivate on one computer to activate on another

You may not:

Share, distribute, or transfer your license to others

Reverse engineer, decompile, or disassemble the Software

Remove or modify any copyright notices or licensing information

Use the Software beyond the trial period without purchasing a license

Exceed the 2-computer activation limit

2. Trial Period

Party-Bag Plugins offers a 4-day trial period for all Software. During this trial:

Full functionality is available to test the Software

Trial activation is managed through HISE Activate

No payment information is required to begin the trial

The trial period begins upon first activation

After the trial expires, you must purchase a license to continue using the Software

We strongly encourage you to fully evaluate the Software during the trial period before purchasing.

3. Ownership

Party-Bag Plugins retains all ownership rights, title, and interest in the Software, including all intellectual property rights. This license grants you the right to use the Software but does not transfer ownership.

4. License Activation

All licenses are activated and managed through the HISE Activate system. Each license permits activation on up to 2 computers simultaneously.

Activation Rules:

You may deactivate the Software on one computer to activate it on a different computer

Machine ID identification is used to track activations and prevent unauthorized sharing

If you need to transfer your license to new computers, you must first deactivate it on the old machines

5. Restrictions

You must not:

Use the Software in any way that violates applicable laws

Use the Software to create unlawful or harmful content

Attempt to circumvent any license activation or copy protection mechanisms

Rent, lease, lend, or provide commercial hosting services with the Software

6. Termination

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any terms. Upon termination, you must destroy all copies of the Software.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTY-BAG PLUGINS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

This warranty disclaimer does not affect your rights under the New Zealand Consumer Guarantees Act 1993.

8. Refund Policy

Due to the availability of a 4-day trial period for all plugins, we do not offer refunds on purchased licenses. We strongly encourage you to fully test the Software during the trial period before making a purchase.

Exceptions: Refunds may be considered in exceptional circumstances such as:

Technical issues that prevent the Software from functioning and cannot be resolved by our support team

Duplicate purchases made in error

All refund requests must be submitted within 14 days of purchase via our contact form.

Consumer Guarantees Act 1993: This refund policy does not affect your rights under the New Zealand Consumer Guarantees Act 1993. If the Software fails to meet the guarantees under that Act (including being fit for purpose and of acceptable quality), you may be entitled to a remedy regardless of this policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTY-BAG PLUGINS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

This limitation does not apply to liability that cannot be excluded under New Zealand law, including under the Consumer Guarantees Act 1993.

10. Support and Updates

Party-Bag Plugins may provide updates, bug fixes, and technical support at its discretion. Updates may be provided free of charge or may require additional payment for major version upgrades.

12. Export Compliance

This EULA constitutes the entire agreement between you and Party-Bag Plugins regarding the Software and supersedes all prior agreements and understandings.

14. Severability

If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this EULA shall otherwise remain in full force and effect.

15. Governing Law

This EULA is governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts.

Consumer Guarantees Act 1993: Nothing in this EULA limits your rights under the New Zealand Consumer Guarantees Act 1993. Our Software comes with guarantees that cannot be excluded under New Zealand consumer law.
